Mainland vs Free Zone: How to Choose the Right Setup for Your Dubai Business
One of the first questions every founder asks when setting up in the UAE is whether to register on the mainland or in a free zone. There isn't a universally correct answer the right choice depends on who you sell to, how you plan to operate, and what kind of activity you're licensed for.
When mainland makes sense
A mainland (DET-licensed) company can trade anywhere in the UAE, bid on government contracts, and open multiple branches without restriction. Since the 2021 reforms, most commercial activities also allow 100% foreign ownership, removing the need for a local service agent in the majority of cases. Mainland is generally the right call if your customers are based inside the UAE or if you're in a regulated sector such as healthcare, education, or financial services.
When a free zone makes sense
Free zones offer a faster setup, full foreign ownership, and for qualifying activities favorable corporate tax treatment. The tradeoff is that a free zone license generally restricts you from trading directly with the UAE mainland without additional approvals. If your business is service-based, export-focused, or serves clients outside the UAE, a free zone is usually the more efficient route.
The practical way to decide
Rather than starting from the jurisdiction, start from your revenue model: where are your customers, do you need a physical office, and will you need to sponsor multiple staff visas? Working backwards from those answers with an advisor who isn't incentivized toward one option is what actually prevents a costly restructure later.
